Constellation Software Inc. Reaches Agreement to Acquire Software Company in the

"This will be one of our larger acquisitions this year. The total purchase price will be approximately US$16 million, subject to post closing adjustments for audited net tangible assets. With revenues for the year ended December 31, 2006 of approximately US$8.6M, we expect the company to contribute significantly to our acquired growth objectives." said John Billowits, Chief Financial Officer of Constellation.

The transaction is expected to close on or about November 30, 2007 and is subject to customary closing conditions, as well as approval by the shareholders of the acquired company. Further details of the transaction will be disclosed upon closing.

"This will be Constellation's eleventh acquisition in 2007," commented Bernard Anzarouth, VP Business Development of Constellation. "We are pleased that we have surpassed our capital allocation goals for 2007 with this latest investment."
