INVESCO PLC: Transaction in Own Shares

LONDON, August 31 /CNW/ - INVESCO PLC (NYSE: - ; LSE: - ; TSX: - )announces that on 31 August 2007 it purchased 100,000 of its Ordinary Sharesat a price of 603.2109 pence per share. It is intended that these shares willbe held in Treasury.

Following the purchase, INVESCO PLC holds 5,306,393 of its OrdinaryShares in Treasury and has a total of 839,330,068 Ordinary Shares (excludingshares held in Treasury) in issue.
