On the Date of Filing, MMCAP beneficially owned and MMAMexercised control and direction over 9,535,500 common sharesand 251,000 warrants (each exercisable into one common share)of Tyler, representing in the aggregate approximately 8.5475%of the outstanding common shares of Tyler (on a partiallydiluted basis). At the date hereof, MMCAP beneficially ownsand MMAM exercises control and direct over 10,576,400 commonshares and 251,000 warrants of Tyler, representing in theaggregate approximately 9.4566% of the outstanding commonshares of Tyler (on a partially diluted basis).
